PRODUCT AND SERVICE PURCHASE AGREEMENT
This Product and Service Purchase Agreement (the "Agreement") is made and entered into as of purchase of service or product by and between the buyer and Beyond Financial Reset LLC. (the "Seller").
WHEREAS, the Seller is in the business of providing products and services , and
WHEREAS, the Buyer desires to purchase certain products and services from the Seller, and
WHEREAS, the parties desire to enter into this Agreement to govern the sale and purchase of the products and services.
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:
1. Purchase and Sale of Products and Services
The Buyer agrees to purchase, and the Seller agrees to sell, the products and services as set forth in the invoice attached (the "Invoice"). The Invoice shall be incorporated into and made a part of this Agreement by this reference.
2. Price and Payment
The purchase price for the products and services shall be as set forth in the Invoice. The Buyer shall pay the purchase price to the Seller in accordance with the terms set forth in the Invoice.
3. Delivery of Products and Services
The Seller shall deliver the products and services to the Buyer in accordance with the terms set forth in the Invoice.
4. Acceptance of Products and Services
The Buyer shall have 3-business days from the date of delivery of the products and services to inspect the products and services and to notify the Seller of any defects or nonconformities. If the Buyer does not notify the Seller of any defects or nonconformities within 3 days, the products and services shall be deemed to have been accepted by the Buyer.
5. Warranties
The Seller warrants that the products and services will be free from defects in materials and workmanship for a period of 7 days from the date of delivery. If the Buyer discovers a defect in the products or services during the warranty period, the Seller shall, at its option, either repair or replace the defective products or services.
6. Sale is Final
All sales are final. There are no refunds or exchanges.
7. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas .
9. Severability
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect.
10. Notices
All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered via email.
11. Waiver
No waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
12. Counterparts
This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
13. Limitation of Liability
Beyond financial Reset’s liability in contract, tort, or otherwise arising through or in connection with this Agreement or through or in connection with the completion of obligations under this Agreement shall be limited to money paid by the buyer. To the extent that it is lawful, neither Party shall be liable to the other Party in contract, tort, negligence, breach of statutory duty or otherwise for any loss, damage, costs or expenses of any nature whatsoever incurred or suffered by that other Party of an indirect or consequential nature including without limitation any economic loss, data loss, loss of goodwill, or other loss of turnover, profits, or business.
14. Entire Agreement Modification
The agreement embodies the entire agreement between the buyer and the seller relating to the subject matter hereof. This Agreement may be changed, modified, or discharged at any time by the seller.
